1. Introduction
These Terms of Service ("Terms") govern your engagement with OS Research LLC ("OS RESEARCH," "we," "us," or "our"). By accessing our services, you agree to these terms in full.
2. Services
Our services include but are not limited to:
Business Model Design
Create light weight prototypes
Build technical prototypes
Design simulation prototypes
Design and execute digital experiments
Product development
User experience design
Co-founder Agreement
3.1 Proposals and Estimates
All proposals and estimates are valid for 30 days and are subject to change based on project requirements.
3.2 Project Commencement
50% deposit required to commence work
Remaining balance due upon First Review sign-off
Additional work beyond agreed scope will be billed separately
Payment is due within 14 days of invoice date
3.3 First Review and Money Back Guarantee
First Review: A full review is conducted after 30 days to assess progress and results.
Satisfaction Guarantee: If the client is dissatisfied for any reason after the review, they may choose to terminate the project and receive a full refund of their deposit.
Finality of Refund: Upon issuing the refund, the project is considered fully terminated, and no further obligations or liabilities exist for either party.
Refund Process: To request a refund, the client must provide written notice after the review. Refunds will be processed within 03 business days via the original payment method.
4. Intellectual Property
4.1 Client Materials
The client retains full ownership of any content, data, or materials they provide to OS Research for use in the project. We do not claim any rights over client-supplied materials.
4.2 OS Research Intellectual Property
All research reports, prototypes, experiment data, insights, and any other deliverables created during the course of the project remain the exclusive intellectual property of OS Research, including but not limited to:
Research findings, methodologies, and analysis
Prototypes and experiment outputs
Any proprietary tools, frameworks, or processes developed during the project
Clients receive a limited, non-exclusive license to use the deliverables for their internal purposes, unless otherwise agreed in writing. OS Research reserves the right to repurpose, refine, and commercialize any insights or assets derived from the project.
5. Project Management
5.1 Timeline
Project timelines are estimates and depend on timely client collaboration, including feedback and access to necessary information. Delays in response may impact overall project progress.
5.2 Weekly Updates
We provide weekly reports in the form of video presentations, summarizing key findings, experiment progress, and insights gathered. These reports ensure full transparency and alignment with the client.
6. Confidentiality & Data Use
OS Research will maintain confidentiality of client-provided data and insights. However, our conclusions and recommendations are based on the accuracy of information provided by the client, and we shall not be responsible for errors due to inaccurate or incomplete data.
7. Project Termination (After First Review)
Either party may terminate the project with 30 days written notice. You will be billed for all work completed up to the termination date.
8. Liability
In no event shall OS Research, its employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or reputational harm. Liability, if any, shall not exceed the fees paid by the client for the specific service rendered.
9. Hold Harmless Clause
Clients agree to indemnify, defend, and hold harmless OS Research and its affiliates from any claims, liabilities, damages, or expenses (including legal fees) arising from the client’s use of our services or any actions taken based on our insights and recommendations
10. Changes to Terms
We reserve the right to modify these terms. Changes will not apply to existing signed agreements.
